01. introduction

These Terms of Service ("Terms") govern your use of the Memra memory API service ("Service") operated at usememra.com. By creating an account or using the API, you agree to these Terms.

02. service description

Memra provides a REST API for storing, retrieving, and searching persistent memories for AI agents and applications. The Service includes a web dashboard, official SDKs, and integrations for direct agent use.

03. data ownership

You own your data. We store and process it on your behalf.

• + You decide what gets stored. You determine what data your AI agents store as memories and what processing purposes apply.
• + Memra processes data on your instructions. We process memory data solely as delivered through the API. We do not access, analyse, or use your memory content for any purpose other than providing the Service.

04. data residency

All primary customer data is stored in the European Union (Finland). Limited third-party processing may occur for embeddings and billing as documented in our Privacy Policy.

05. acceptable use

You agree not to:

• - Use the Service to store content that violates applicable laws
• - Attempt to circumvent rate limits, quotas, or authentication
• - Share API keys across separate legal entities
• - Reverse-engineer, decompile, or attempt to extract the source code of the Service

06. privacy shield

Memra's optional Privacy Shield feature automatically detects and masks common PII patterns before storage. This is a best-effort supplementary measure — it does not guarantee detection of all PII forms. You remain responsible for ensuring appropriate data handling practices.

07. billing

• + The Hobby tier is free with usage limits (see Pricing).
• + Paid tiers are billed monthly. Upgrades take effect immediately; downgrades caused by cancellation take effect at the end of the billing cycle.
• + If a payment fails, we provide a 3-day grace period before downgrading the account to Hobby tier quotas.
• + Downgrading preserves your data but limits access to your new tier's quotas.
• + We may modify pricing with 30 days' written notice.

08. account termination

• + You may delete your account at any time from the dashboard.
• + Account deletion triggers a complete data erasure as described in our Privacy Policy.
• + We may suspend accounts that violate these Terms, with written notice where possible.

09. limitation of liability

The Service is provided "as is" without warranties of any kind. Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for data loss caused by your actions, third-party service outages, or force majeure events.

10. changes to terms

We may update these Terms with 30 days' notice. Continued use after the notice period constitutes acceptance. Material changes will be communicated via email.

11. governing law

These Terms are governed by the laws of the European Union.
